1. Agreement to Terms

By accessing or using Driyu ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Driyu LLC ("Driyu", "Company", "we", "us", or "our") is a company based in Sugar Land, Texas, United States. These Terms govern your use of our website, mobile applications, and related services.

1.1 Eligibility

To use the Service, you must be at least 18 years of age. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement. If you do not meet this requirement, you may not access or use the Service.

2. Description of Service

Driyu is a pet safety and health management platform that provides:

• QR-coded pet identification tags
• Digital pet profiles and health records
• Lost pet alert and recovery network
• AI-powered health insights (Pro features)
• Medical document scanning and storage
• Family sharing capabilities

Some features are available for free, while others require a paid subscription.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Maintain the security of your password and account.
• Accept responsibility for all activities under your account.
• Notify us immediately of any unauthorized use.

4. Subscriptions and Payments

4.1 Free and Paid Services

Driyu offers both free and paid subscription tiers. Free features include basic pet profiles, QR tag registration, and lost pet alerts. Paid subscriptions ("Pro" and "Founder") provide access to additional features.

4.2 Payment Processing and Merchant of Record

Subscription payments are processed by Paddle (Paddle.com Market Limited or Paddle.com Inc., depending on your location), our authorized payment processor and Merchant of Record. When you purchase a subscription, you are entering into a transaction with Paddle as the Merchant of Record. Paddle is responsible for payment processing, billing, subscription management, and applicable tax handling.

4.3 Billing

Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan selected.

4.4 Free Trials

We may offer free trials of paid features. At the end of the trial period, your payment method will be charged unless you cancel before the trial ends.

4.5 Founder Pricing

Founder pricing is a special early supporter rate that remains in effect as long as the subscription remains active and in good standing. If a Founder subscription is voluntarily canceled or lapses due to non-payment, future subscriptions will use the pricing available at that time.

4.6 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

4.7 Refunds

Subscription refund requests are handled in accordance with our Return & Refund Policy, which forms part of these Terms. Because Paddle is our Merchant of Record for subscription purchases, Paddle's Buyer Terms also govern subscription transactions. For physical QR tag concerns, see Section 5.

5. Physical QR Tags

5.1 Overview

Driyu QR tags are physical goods shipped to you separately from any digital subscription. The tag enables QR-based pet identification when linked to a Driyu account.

5.2 Shipping

Shipping and fulfillment are best-effort. Estimated delivery times are provided for guidance only and are not guaranteed. We are not responsible for carrier delays, customs holds, or circumstances beyond our reasonable control.

5.3 Defective or Damaged on Arrival

If your tag arrives damaged, defective, or materially different from what was ordered, please contact us at support@driyu.com within 30 days of delivery with your order details and a description or photo of the issue. We will work with you to resolve the problem, which may include a replacement or refund at our discretion.

5.4 Limitations

Tags are not covered for normal wear and tear, physical damage caused by misuse or accidents, loss or theft, or unauthorized modifications. We do not warrant that the tag will remain scannable under all environmental conditions throughout its lifetime.

6. Reseller Use of the Service

6.1 Reseller Accounts

Certain users may access the Service as business partners or distributors ("Resellers"). Resellers may purchase subscriptions that allow them to distribute Driyu-compatible QR activations or access reseller-specific features.

6.2 No Ownership of End-User Data

Resellers do not own, control, or have automatic access to pet owner data created through the Service. Driyu LLC remains the sole operator and controller of all pet owner accounts, pet profiles, and health data.

6.3 Limited Information

Resellers may receive limited, aggregated, or anonymized information related to QR activations associated with their account. Resellers do not receive access to medical records, contact details, precise location data, or private pet information unless explicitly provided by the pet owner.

6.4 Third-Party Transactions

Any sale of physical products or services by a Reseller occurs outside of the Driyu Service. Driyu LLC is not responsible for reseller pricing, fulfillment, warranties, or customer service related to third-party products.

6.5 Suspension or Termination

We reserve the right to suspend or terminate Reseller accounts that misuse the Service, misrepresent Driyu, violate these Terms, or engage in conduct that may harm end users or the Driyu platform.

6.6 Reseller Indemnification

Resellers agree to indemnify, defend, and hold harmless Driyu LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) the Reseller's acts or omissions; (b) misrepresentations about the Service or Driyu made to end customers; (c) the Reseller's failure to comply with applicable laws; or (d) the Reseller's mishandling of end-user data.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Infringe on the rights of others.
• Submit false or misleading information.
• Upload malicious code or interfere with the Service.
• Attempt to gain unauthorized access to our systems.
• Use the Service for any commercial purpose without authorization, except as permitted under a Reseller subscription.
• Harass, abuse, or harm another person.

8. Pet Information and Medical Disclaimer

Driyu LLC provides tools to store and organize pet health information. However:

• Driyu LLC is not a substitute for professional veterinary care.
• AI-powered health insights are informational only and do not constitute medical advice.
• You should always consult a licensed veterinarian for medical decisions.
• We do not guarantee the accuracy of user-submitted or AI-analyzed information.

You are solely responsible for the accuracy of information you provide about your pets.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Driyu LLC and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you submit to the Service, but grant us a non-exclusive, worldwide, royalty-free license to use, store, and display that content as necessary to provide the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Driyu LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

13. Termination

We may terminate or suspend your account and access to the Service for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. We will provide notice when reasonably practicable.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

16. Dispute Resolution & Arbitration

16.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@driyu.com. We'll try to resolve the dispute informally within 30 days.

16.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Driyu LLC agree to resolve any claims through final and binding arbitration. The American Arbitration Association (AAA) will administer the arbitration under its Consumer Arbitration Rules. Arbitration will be conducted in English, in Harris County, Texas, or another mutually agreed location.

16.3 Class Action Waiver

You and Driyu LLC agree that any proceedings to resolve disputes will be conducted only on an individual basis and not as a class, consolidated, or representative action.

16.4 Exceptions

Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service or intellectual property infringement without first engaging in arbitration.

17. General Provisions

17.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17.2 Entire Agreement

These Terms, together with our Privacy Policy and Return & Refund Policy, constitute the entire agreement between you and Driyu LLC regarding the Service and supersede all prior agreements, representations, and understandings.

17.3 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any term will only be effective if in writing and signed by an authorized representative of Driyu LLC.

17.5 Headings

Section headings are for convenience only and have no legal or contractual effect.
